Division Of Risk--Conditioned On Absence Of Seller Misconduct
DIVISION OF RISK--CONDITIONED ON ABSENCE OF SELLER MISCONDUCT
All risks arising under this agreement with respect to any casualty to the goods are to be borne equally by seller and buyer, regardless of the cause of the casualty, provided that seller has not engaged in any misconduct that results in any injury, damage or destruction of the goods. In the latter event, seller shall indemnify buyer for any loss occasioned by sellers misconduct.
This is a UCC-buying and selling form.
It is intended to be an addendum to other forms.
